Terms of Service
Standard trading terms, order rules, and warranty policies for distributors, repair shops, and fleet operators working with ROADSPOWER.
1 General Provisions
These Terms of Service ("Terms") govern all B2B wholesale transactions, custom manufacturing (OEM/ODM), and supply contracts between ROADSPOWER ("Supplier", "we", or "us") and the purchasing entity ("Buyer", "you").
By issuing a Purchase Order (PO), approving a Proforma Invoice (PI), or accepting delivery of goods, the Buyer agrees to be bound by these Terms. ROADSPOWER specializes in supplying heavy-duty truck aftermarket parts (Air Power Lines, Brass Fittings, and Accessories) primarily to the North American and South American markets.
2 Orders & Minimum Order Quantity (MOQ)
ROADSPOWER caters to distributors, wholesalers, and fleet operators with annual procurement volumes ranging from USD 10,000 to several hundred thousand USD. We offer flexible order structures:
- Standard Orders: We support mixed small-batch orders and full-container wholesale. Specific MOQs vary by product category (e.g., standard brass fittings vs. custom air line kits).
- Custom Manufacturing: Customization based on customer samples or drawings, including co-development and private label packaging, is available subject to specialized MOQ requirements.
- Urgent Needs: We maintain pre-positioned safety stock for large-volume, returning buyers, allowing for flexible MOQs to cover urgent stock-replenishment needs.
All orders are considered confirmed only upon the issuance of a formal Order Confirmation or Proforma Invoice by ROADSPOWER.
3 Pricing & Payment Terms
Prices are quoted in USD unless otherwise specified. Given the volatility of raw materials (copper, rubber, metal), quotes are valid for the period stated on the official quotation (typically 30 days).
Standard payment terms for international wholesale orders are:
- New Accounts: 30% T/T deposit upon order confirmation, 70% balance prior to shipment or against copy of Bill of Lading (B/L).
- Established Partners: Flexible terms including Net 30 or L/C at sight may be negotiated after consecutive successful transactions.
- Sample Orders: 100% advance payment. Sample costs are generally credited towards the first bulk purchase order.
4 Shipping & Delivery
Operating from our 6,000+ sqm facility located just 30 km from Ningbo Port, we ensure highly efficient logistics routing.
- Incoterms: We offer flexible delivery terms including FOB Ningbo/Shanghai, CIF, and DDP (Delivered Duty Paid) specifically tailored for US and South American destinations.
- Lead Time: Standard production lead times run between 20 to 45 days depending on order size and customization requirements. In-stock items ship within 3-7 days.
- Customs Expertise: With deep expertise in the Americas market, we provide all necessary compliance documentation to ensure seamless customs clearance.
5 Quality Assurance & Warranty
ROADSPOWER manages all core processes in-house across 6 production lines, with zero outsourcing of critical steps. Our commitment to quality includes:
Certifications
ISO 9001 certified facility. Products are DOT (U.S. Department of Transportation) certified and fully compliant with SAE and FMVSS standards.
Inspection Protocol
Strict incoming material inspection (copper, rubber, metal). 100% final inspection on key products with AQL sampling before warehousing.
Performance Testing
In-house lab conducts testing for air tightness, tensile strength, temperature resistance, and pressure resistance.
Traceability
Full-process production traceability from raw material intake to final shipment, protecting your brand reputation.
We offer a standard 12-month warranty against manufacturing defects from the date of B/L. The warranty covers replacement parts or credit notes for defective items.
6 Returns & Claims
Our objective is to reduce procurement costs and pricing volatility while minimizing returns and warranty claims. However, in the event of an issue:
- Claims regarding quantity discrepancies or visible damages must be submitted in writing within 14 days of cargo arrival at the destination port.
- Quality or performance claims must be submitted within the 12-month warranty period, accompanied by detailed photos, videos, and the batch traceability number.
- ROADSPOWER will evaluate claims within 3-5 business days. Approved claims will be resolved via replacement in the next shipment or financial credit. Cash refunds are generally not issued.
7 Governing Law & Dispute Resolution
These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any disputes arising from or in connection with business transactions shall first be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules in effect at the time of applying for arbitration.
